Terms of Service

1. Acceptance

In these Terms, "probuck.ai", "we", "us", and "our" refer to Project Buckingham Ltd, a company incorporated in England and Wales (registration number 17263496), trading as probuck.ai.

By accessing or using probuck.ai, you agree to be bound by these Terms of Service. If you do not agree, you must not use the platform.

2. Service Description

probuck.ai provides AI-powered document management, data extraction, and chatbot services. Features may change from time to time; material changes will be notified in-product.

3. Trial and Evaluation Access

Where access to the platform is provided on a trial, evaluation, free, or discounted basis, such access is granted at the sole discretion of probuck.ai and may be revoked at any time without notice or liability. Trial or evaluation use does not create any contractual entitlement to continued access, any proprietary interest in the platform, or any obligation on the part of probuck.ai to maintain, support, or develop the platform for the benefit of the user or user's employer.

4. User Responsibilities and Account Sharing

You are responsible for maintaining the security of your account credentials (including password and TOTP/2FA secret) and for all activity that occurs under your account.

Each account is personal and may only be used by the named individual to whom it is issued. probuck.ai is licensed on a per-user (per-seat) basis. You must not:

  • Share, disclose, or transfer your password, 2FA secret, or session tokens to any other person, including colleagues within the same organisation.
  • Allow any other person to log in as you, use your account, or access the platform under your identity.
  • Use a single account to provide platform access to multiple individuals, whether concurrently or sequentially (sometimes referred to as "account sharing", "seat sharing", or "credential pooling").
  • Create or operate generic, role-based, shared, or "team" accounts (e.g. accounts tied to a shared mailbox or distribution list rather than a named individual) without the prior written consent of probuck.ai.

Where additional individuals require access, the organisation administrator must purchase additional seats and invite each user under their own named account. Organisation administrators are responsible for ensuring that members of their organisation comply with this clause.

probuck.ai may monitor account activity (including login frequency, IP addresses, user agents, concurrent sessions, and access patterns) to detect suspected account sharing. Where account sharing is reasonably suspected, probuck.ai may, at its sole discretion: (a) require additional identity verification; (b) suspend or terminate the account without refund; (c) invoice the organisation for additional seats retrospectively at the then-current list price; and (d) pursue any other remedy available under these Terms or at law.

5. Acceptable Use

You agree to use the platform only for lawful purposes and in accordance with these Terms. You must not use the platform in any way that:

  • Violates any applicable local, national, or international law or regulation.
  • Is fraudulent, deceptive, or misleading.
  • Harasses, abuses, threatens, or intimidates any person.
  • Attempts to gain unauthorised access to the platform, other users' accounts, or any connected systems or networks.
  • Introduces viruses, malware, or any other harmful or destructive code.
  • Interferes with or disrupts the integrity, performance, or availability of the platform.
  • Impersonates any person or entity, or misrepresents your affiliation with any person or entity.

6. Prohibited Content

You must not upload, transmit, or otherwise make available through the platform any content that:

  • Is unlawful, harmful, defamatory, obscene, or otherwise objectionable.
  • Infringes any intellectual property right, trade secret, or other proprietary right of any third party.
  • Contains personal data of third parties without their explicit consent and a lawful basis for processing.
  • Constitutes unsolicited bulk communications or spam.
  • Contains content that exploits or harms minors in any way.

We reserve the right to remove any content that violates these Terms and to suspend or terminate your account without notice.

7. Compliance with Laws

You are solely responsible for ensuring that your use of the platform complies with all applicable laws and regulations in your jurisdiction, including but not limited to data protection laws, export controls, and industry-specific regulations. You must not use the platform in any jurisdiction where such use would be prohibited by law.

8. Intellectual Property

You retain ownership of all documents and data you upload. We do not claim any intellectual property rights over your content.

All software, algorithms, models, workflows, retrieval engines, user interfaces, documentation, and other materials comprising the probuck.ai platform are the exclusive intellectual property of probuck.ai and its licensors. No rights are granted to you other than the limited right to use the platform in accordance with these Terms.

The platform was developed independently of any employment relationship. Use of the platform by an employer, client, or affiliated entity of any individual connected with probuck.ai does not constitute a "work-for-hire" arrangement, joint venture, or transfer of ownership. No employment, consultancy, or commercial relationship between probuck.ai and any user or user's employer shall give rise to any claim of ownership over the platform, its source code, or any of its intellectual property.

Nothing in these Terms creates an employment, agency, partnership, or joint venture relationship between probuck.ai and any user, user's employer, or any third party. Users access the platform as independent licensees only.

9. Feedback

If you provide suggestions, feature requests, ideas, or other feedback regarding the platform ("Feedback"), you grant probuck.ai a worldwide, perpetual, irrevocable, royalty-free, fully sub-licensable licence to use, reproduce, modify, adapt, publish, and incorporate such Feedback into the platform or any other product or service for any purpose, without any obligation, compensation, or attribution to you, your employer, or any third party. You acknowledge that probuck.ai is not obligated to act on any Feedback and that providing Feedback does not create any confidential relationship or intellectual property claim over the platform.

10. Restrictions on Use

You agree that you will not, directly or indirectly:

  • Competitive use: Use the platform, its features, outputs, or any information obtained through use of the platform to build, improve, train, or inform a competing product or service — including but not limited to document extraction, retrieval, or AI-powered workflow tools.
  • Reverse engineering: Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, data models, retrieval methods, or underlying architecture of the platform or any of its components.
  • Systematic extraction: Use automated means (including scripts, scrapers, bots, or API abuse) to systematically extract, collect, or harvest platform functionality, outputs, or technical behaviour for any purpose.
  • Benchmarking for competitors: Conduct or publish performance benchmarks, accuracy comparisons, or feature analyses of the platform for the benefit of a competing product or service without prior written consent.
  • Credential sharing: Share, transfer, or provide access to your account or API keys to any third party for the purpose of enabling any of the above restricted activities.

Violation of these restrictions may result in immediate termination of your account and pursuit of all available legal remedies.

11. Confidentiality

You acknowledge that use of the platform may expose you to proprietary methods, techniques, and processes. You agree to treat all non-public aspects of the platform's functionality — including but not limited to retrieval methods, extraction pipelines, and workflow logic — as confidential information and not to disclose such information to any third party.

12. Payments, Refunds and Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service enquiries and handles returns.

Payment, billing, tax, invoicing, cancellation, and refund mechanics for paid subscriptions are governed by Paddle's Buyer Terms, which apply to your purchase in addition to these Terms. Subscriptions renew automatically at the end of each billing period at the then-current list price unless cancelled in advance via the Billing section of your account or the Paddle customer portal.

We offer a 30-day money-back guarantee on paid subscriptions, as described in our Refund Policy. Refund requests should be made via paddle.net or through our contact page.

13. Data Processing

By using the platform, you acknowledge and agree that your personal data will be processed in accordance with our Privacy Policy, which forms an integral part of these Terms. We process personal data necessary to perform our obligations under these Terms on the lawful basis of contract performance (GDPR Article 6(1)(b)) and legitimate interests (GDPR Article 6(1)(f)). We do not rely on GDPR consent as the lawful basis for core platform processing. Where consent is required for specific processing activities, it will be sought separately and may be withdrawn at any time without affecting the lawfulness of prior processing.

14. Indemnification

You agree to indemnify, defend, and hold harmless probuck.ai and its officers, directors, employees, and agents from and against any and all third-party claims, demands, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your material violation of these Terms that results in a third-party claim against probuck.ai; (b) any Customer Content that violates Section 6 (Prohibited Content) or infringes the intellectual property, privacy, or proprietary rights of any third party.

15. AI-Specific Disclaimers & Third-Party Dependencies

AI outputs: You acknowledge that the platform uses generative artificial intelligence. AI-generated outputs — including chatbot responses, data extractions, and agentic workflow results — may be inaccurate, incomplete, biased, or entirely fabricated ("hallucinations"). You are solely responsible for verifying the accuracy of any output before relying on it. probuck.ai provides no warranty regarding the truthfulness or reliability of AI-generated content.

Third-party services: The platform relies on third-party providers (including but not limited to large language model providers, cloud hosting services, and web data sources). probuck.ai is not responsible for any service outages, data breaches, performance degradation, or errors caused by these third-party providers.

No data guarantee: While we implement reasonable security measures in accordance with industry standards, we do not guarantee against data loss or corruption. You are expected to maintain independent backups of all critical data uploaded to the platform.

16. Limitation of Liability

The platform is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by applicable law, probuck.ai shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunity, or goodwill, arising out of or in connection with your use of or inability to use the platform, regardless of the cause of action or theory of liability.

Free and trial users: Where the platform is provided without charge, on a trial basis, or at a discounted rate, probuck.ai's total aggregate liability to you shall be limited to zero (£0). You acknowledge that free or discounted access is provided without consideration and accordingly no liability shall arise from such use.

Paid users: Where you have paid fees for use of the platform, probuck.ai's total aggregate liability to you for all claims arising out of or in connection with these Terms or your use of the platform shall not exceed the total fees actually paid by you to probuck.ai in the twelve (12) months immediately preceding the event giving rise to the claim. The exclusions and limitations in this clause apply in the aggregate to all claims, causes of action, losses, damages, and liabilities arising from the same or related events.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

17. Termination

We reserve the right to suspend or terminate your access to the platform at any time, with or without cause, including for violation of these Terms. Upon termination, all rights granted to you under these Terms will immediately cease.

18. Data on Termination

Upon expiration, cancellation, or termination of your subscription, access to the platform and Customer Content may be suspended immediately. probuck.ai will retain Customer Content for a minimum period of thirty (30) days following such suspension. During this period, you may be able to restore access to your Customer Content by reactivating or renewing your subscription, subject to the continued availability of the data and the platform.

Following this retention period, probuck.ai may permanently delete any data, documents, and content associated with the account without further notice. probuck.ai shall have no obligation to retain, recover, or provide access to such data after deletion and shall have no liability arising from such deletion.

19. Storage and Resource Limits

Your subscription includes an object storage allowance covering the source files held on your behalf in connection with your Organisation, namely uploaded documents and soft-deleted documents retained in the Recycle Bin. Derived data (such as extracted text chunks, structured tables used for retrieval, workflow definitions and run history, and audit and usage logs) is held in the platform database and is not counted against the object storage allowance. The current composition of your Organisation's storage usage is shown in-product via the storage indicator and its breakdown tooltip, and is refreshed periodically (currently every 15 minutes). We may update the inclusion list, exclusions, refresh cadence, and applicable limits from time to time; material changes will be notified in-product. Where your Organisation reaches or exceeds its allowance, we may restrict further uploads or workflow execution until usage is reduced or additional capacity is purchased.

20. Data Processing (Processor Terms)

Where you (acting as the controller) instruct probuck.ai (acting as the processor) to process personal data via the platform, the following processor terms apply and form a binding part of these Terms for the purposes of UK GDPR Article 28 and equivalent EU GDPR provisions.

20.1 Subject matter and duration. The subject matter of the processing is the personal data contained in documents and content you upload to your Organisation, and the operational data necessary to deliver the platform (account identifiers, audit logs, usage logs). Processing continues for the duration of your subscription and any post- termination retention period set out in clause 18.

20.2 Nature and purpose. probuck.ai processes personal data solely to provide the platform features described in these Terms — including ingestion, indexing, retrieval, AI-assisted querying via your own AI provider key, workflow execution, audit logging, and data export — and for no other purpose, except where required by law.

20.3 Categories of personal data and data subjects. The categories of personal data and data subjects are determined by you and depend on the content you choose to upload. probuck.ai does not require, request, or rely on any specific category of personal data being uploaded.

20.4 Processor obligations. probuck.ai shall: (a) process personal data only on your documented instructions (these Terms and your in-product configuration constituting such instructions); (b) ensure that personnel authorised to process personal data are bound by appropriate confidentiality obligations; (c) implement appropriate technical and organisational measures (see clause 20.6); (d) assist you, taking into account the nature of processing, in fulfilling your obligations to respond to data subject requests and to comply with Articles 32–36 of the UK GDPR; (e) at your choice, delete or return personal data on termination as set out in clause 18; and (f) make available the information necessary to demonstrate compliance with this clause.

20.5 Sub-processors. You authorise probuck.ai to engage the sub-processors listed in our Privacy Policy (section 8) for the purposes described there. probuck.ai will impose data protection obligations on each sub-processor that are no less protective than those set out in this clause. We may add or replace sub-processors from time to time; material changes will be notified in-product. You may object to a new sub-processor on reasonable data protection grounds; if the objection cannot be resolved, your sole remedy is to terminate the affected portion of the service.

20.6 Security measures. probuck.ai applies industry-standard security measures including encryption of data at rest (AES-256) and in transit (TLS), Row Level Security on multi-tenant data, mandatory TOTP two-factor authentication for all users, IP whitelisting controls, secrets encrypted via pgcrypto with a dedicated key, audit logging with 365-day retention, and a documented disaster-recovery process.

20.7 Personal data breach notification. probuck.ai shall notify you without undue delay (and in any event within 72 hours of becoming aware) of any personal data breach affecting your Organisation's personal data, providing such information as is reasonably available to enable you to comply with your own notification obligations.

20.8 Audit. probuck.ai will respond to reasonable written information requests from you concerning its compliance with this clause. On-site audits are not offered for self-serve subscriptions; where you have legitimate audit requirements that go beyond information requests, please contact us to discuss an enterprise arrangement.

20.9 International transfers. Where personal data is transferred outside the UK or EEA in the course of our sub-processor arrangements, such transfers are made on the basis of an appropriate transfer mechanism recognised under the UK GDPR and EU GDPR (including Standard Contractual Clauses and the UK International Data Transfer Addendum where applicable).

20.10 Conflict. In the event of any conflict between this clause 20 and any other provision of these Terms in respect of the processing of personal data, this clause 20 prevails.

21. Third-Party AI Providers (BYOK)

The platform operates on a strict "bring your own key" (BYOK) basis. All AI inference, embedding generation, and vision extraction performed for your Organisation runs on the third-party AI provider credentials — including API keys, service accounts, or other access tokens — that you provide and configure in the platform. probuck.ai does not provide a fallback platform AI key for Organisation workloads.

You acknowledge and agree that: (a) your contractual relationship for the AI service itself (including pricing, quotas, model availability, data handling, and acceptable use) is directly with the applicable third-party AI provider, not with probuck.ai; (b) probuck.ai is not responsible or liable for any outage, latency, pricing change, quota exhaustion, deprecation, content moderation decision, accuracy issue, or change to the AI provider's own terms or data-handling policies; (c) you are solely responsible for keeping your AI provider credentials valid, funded, within quota, and authorised for the regions and models you intend to use; (d) any usage charges incurred against your AI provider account as a result of using the platform are billed to you directly by the AI provider, are separate from any subscription fees payable to probuck.ai, and are non-recoverable from probuck.ai; and (e) suspension, termination, or rate-limiting of your AI provider account by the provider may impair or prevent your use of platform features that depend on AI, and probuck.ai is not liable for any such impairment.

22. Embedding Model Lifecycle and Re-embedding

Third-party AI providers may deprecate, retire, or declare end-of-life an embedding model used by the platform without notice. Embeddings produced by one model are not mathematically comparable to embeddings produced by another model. If the embedding model configured for your Organisation becomes unavailable or obsolete, semantic similarity searches against your document library may produce degraded, incomplete, or no results. To restore full search and retrieval capability, you will need to re-process (re-embed) all or part of your document library using a replacement model. All costs associated with re-embedding — including token charges, compute, storage, and bandwidth — are your sole responsibility and will be charged against your own AI provider account or subscription. probuck.ai does not guarantee the continued availability of any specific embedding model or compatibility between embeddings produced by different models.

23. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

24. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via the platform or email. Continued use of the platform after changes constitutes acceptance of the updated Terms.
